NodeFlow Platform End User License Agreement (EULA)

END USER LICENSE AGREEMENT (EULA)

1. Introduction

This End User License Agreement (“Agreement”) governs the use of NodeFlow Platform, including its software components, plugins, add-ons, server components, data processing tools, documentation, and related technologies (“Platform”).

By installing, activating, accessing, or using NodeFlow Platform, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

If you do not agree with the terms of this Agreement, you must not use the proprietary components and services of NodeFlow Platform. This does not limit any rights independently granted to you under an applicable open-source licence.

2. Definition of NodeFlow Platform

NodeFlow Platform is a software ecosystem designed for processing, converting, and automating workflows involving digital 3D assets and related data.

NodeFlow Platform may include:

NodeFlow Platform plugins for 3ds Max;
NodeFlow Platform add-ons for Blender;
NodeFlow Platform server components;
server-side conversion services;
internal software services and processing technologies;
APIs;
web interfaces;
documentation;
other related software components.

The composition, functionality, and technical architecture of NodeFlow Platform may be modified, updated, expanded, or improved as the product evolves.

Individual components of NodeFlow Platform may be subject to different licensing terms. Open-source and third-party components are governed as described in Section 6A of this Agreement.

3. Developers and Rights Holders

NodeFlow Platform is developed and maintained by the NodeFlow Platform development team.

Rights to software, source code, algorithms, architecture, data processing methods, internal technologies, documentation, branding, and other intellectual property elements belong to their respective rights holders and contributors in accordance with applicable law and agreements between project participants.

For the purposes of this Agreement, licensing and administration of access to proprietary components and services of NodeFlow Platform are carried out by Individual Entrepreneur Evgeny Vitalyevich Litvyakov on behalf of the applicable rights holders and in accordance with the relevant agreements between project participants.

Nothing in this Agreement transfers or modifies ownership of intellectual property between project participants.

4. Grant of License

Subject to Section 6A (Open-Source and Third-Party Components), the user is granted a limited, non-exclusive, non-transferable right to use the proprietary software components and services of NodeFlow Platform in accordance with this Agreement.

Where access to a proprietary component or service depends on an account, subscription, plan, licence, or other access entitlement, the right to use that component or service is limited to the applicable access period, functionality, and usage limits.

The user may use proprietary components of NodeFlow Platform only through authorised accounts and in accordance with the applicable technical and subscription limitations.

This Agreement does not constitute a sale of any proprietary software or intellectual property.

All ownership rights in the proprietary components of NodeFlow Platform remain with their respective rights holders.

5. License Restrictions

Subject to Section 6A (Open-Source and Third-Party Components), the following restrictions apply only to proprietary components and services of NodeFlow Platform.

Except where expressly permitted by applicable law or by a separate licence, the user may not:

copy or distribute proprietary software components of NodeFlow Platform;
transfer, sell, rent, lease, or sublicense rights granted under this Agreement;
modify proprietary source code or create derivative versions of proprietary software components;
reverse engineer, decompile, or disassemble proprietary software components;
bypass technical limitations, licensing mechanisms, activation mechanisms, or usage restrictions;
attempt to gain unauthorised access to NodeFlow Platform servers, infrastructure, APIs, or internal systems;
extract or obtain proprietary source code, confidential algorithms, internal protocols, or other non-public technical information by unauthorised means;
use automated means to access NodeFlow Platform services in a manner not expressly authorised;
interfere with or disrupt the normal operation, security, or infrastructure of NodeFlow Platform.

Nothing in this Section restricts any right granted under an applicable open-source or third-party licence as described in Section 6A.

6. Intellectual Property Rights

Subject to Section 6A (Open-Source and Third-Party Components), all intellectual property rights in the proprietary components of NodeFlow Platform belong to their respective rights holders.

Such intellectual property may include:

proprietary source code and object code;
algorithms and processing methods;
software and server architecture;
server technologies;
proprietary internal data formats and protocols;
interfaces and visual elements;
documentation;
trademarks and branding elements;
know-how and other proprietary technologies.

Use of NodeFlow Platform does not transfer ownership of such intellectual property to the user.

Nothing in this Section claims ownership over open-source software, third-party software, or user content beyond the rights granted by their respective licences or rights holders.

6A. Open-Source and Third-Party Components

Certain components distributed as part of or in connection with NodeFlow Platform are licensed under separate open-source or third-party licences.

In particular, the NodeFlow Platform add-ons for Blender are distributed under the GNU General Public License, version 3 or later (GPL-3.0-or-later).

For components governed by an open-source licence, the applicable open-source licence governs and prevails over this Agreement to the extent of any conflict.

Sections 4, 5 and 6 of this Agreement do not restrict, limit, or impose additional conditions on rights granted under an applicable open-source licence.

The licence restrictions and proprietary-rights provisions of this Agreement continue to apply in full to proprietary components of NodeFlow Platform, including:

the server-side conversion service;
server software and internal processing technologies;
web interfaces;
APIs;
NodeFlow Platform plugins for 3ds Max.

Licensing the NodeFlow Platform add-ons for Blender under GPL-3.0-or-later does not, solely by reason of network interaction, extend that licence to separate proprietary server services, APIs, web services, or other independent proprietary components of NodeFlow Platform.

NodeFlow Platform distributions may also include separate third-party programs distributed under their own licences.

The NodeFlow Platform add-on for Blender distributed through the official NodeFlow Platform website may include unmodified executable components of 7-Zip, developed by Igor Pavlov, for local extraction of supported archive formats.

7-Zip and its components are governed by their applicable third-party licences, including the GNU Lesser General Public License (LGPL), applicable BSD licences, and the applicable unRAR restriction for relevant portions of the software.

NodeFlow Platform uses RAR functionality solely to extract data from existing RAR archives and does not use 7-Zip or unRAR code to create RAR archives.

7-Zip is third-party software and is not a NodeFlow Platform product.

Information concerning third-party components, applicable licence texts, copyright notices, version information and, where applicable, source-code locations is provided in the THIRD_PARTY_NOTICES file and other licence files included with the applicable distribution.

7. User Data and Local Processing

Users retain all rights they hold in files, digital assets, and other content submitted to or processed through NodeFlow Platform.

User content may include:

3D scenes;
models;
textures;
materials;
project files;
archives;
other digital assets and related data.

NodeFlow Platform provides technical tools for processing user-provided data.

For certain workflows, NodeFlow Platform software may process user-provided files locally on the user’s device before transmitting data to NodeFlow Platform servers.

Such local processing may include extracting archives, analysing their contents and structure, identifying files required for the requested operation, excluding data not required for that operation, and creating a separate technical package for subsequent server-side processing.

In such cases, the user’s original archive is not transmitted to NodeFlow Platform servers as a single file. Only files and data included in the generated technical package and required for the requested operation are transmitted.

Local processing does not transfer ownership of user content to NodeFlow Platform or grant NodeFlow Platform rights beyond those necessary to perform the operation requested by the user.

Any output generated from user content belongs to the user to the extent permitted by applicable law and the rights in the underlying user content, unless otherwise agreed separately.

Algorithms, software methods, server technologies, proprietary processing systems, and other proprietary components used by NodeFlow Platform remain the property of their respective rights holders.

8. Subscription, Access and License Activation

Access to certain proprietary features, services, or software components of NodeFlow Platform may require an account, subscription, paid plan, licence activation, or other access entitlement.

Available functionality, usage limits, access periods, and other conditions are determined by the applicable plan or entitlement.

Certain functionality may also be provided without charge subject to applicable limitations.

NodeFlow Platform may use technical mechanisms to verify licence validity, account status, applicable usage limits, and authorised access.

Access to certain features may be restricted until required account verification has been completed, including verification of the user’s email address.

Nothing in this Section limits rights independently granted under an applicable open-source licence.

9. Beta and Experimental Features

Certain features of NodeFlow Platform may be identified as Beta, Preview, Experimental, Early Access, or similar.

The user acknowledges that such features:

may contain errors;
may operate with limitations;
may change without prior notice;
may be temporarily unavailable;
may be modified or removed;
may not represent final functionality.

To the extent permitted by applicable law, use of Beta or experimental features is at the user’s own risk.

10. Updates and Modifications

NodeFlow Platform may provide updates, improvements, patches, new versions, and changes to its proprietary components and services.

Such updates may:

modify functionality;
improve performance;
fix errors or security issues;
introduce new functionality;
change system requirements;
modify supported formats or software versions.

Updates to open-source or third-party components remain subject to their applicable licences.

11. Disclaimer of Warranty

NodeFlow Platform is provided on an “as available” and “as is” basis to the maximum extent permitted by applicable law.

The rights holders and service provider do not guarantee:

uninterrupted or error-free operation;
complete absence of software defects;
compatibility with every version of third-party software;
identical conversion results in every situation;
preservation of every property or parameter of source data unless expressly stated otherwise;
permanent availability of any specific feature.

Users are responsible for maintaining appropriate backups of their original files and data.

Nothing in this Section excludes or limits rights or warranties that cannot lawfully be excluded under applicable law.

12. Termination of License and Service Access

Rights to access proprietary NodeFlow Platform services or proprietary software granted under this Agreement may terminate or be restricted:

when the applicable access period expires;
if the user violates this Agreement;
if unauthorised use or circumvention of licensing or access mechanisms is detected;
if NodeFlow Platform is used unlawfully;
where restriction is reasonably necessary to protect the security or integrity of NodeFlow Platform, its infrastructure, or other users.

Upon termination, the user must stop using proprietary NodeFlow Platform services and proprietary software to the extent required by this Agreement.

Termination or expiration of access under this Agreement does not terminate, revoke, or restrict rights independently granted to the user under an applicable open-source or third-party licence, including GPL-3.0-or-later.

13. Governing Law

This Agreement is governed by the laws of the Russian Federation, without prejudice to mandatory rights that may apply to users under the laws of their jurisdiction.

Nothing in this Agreement limits consumer rights or other mandatory protections that cannot lawfully be excluded or restricted.

14. Changes to This Agreement

This Agreement may be updated as NodeFlow Platform evolves or as legal, technical, or operational requirements change.

The latest version of this Agreement will be published on the official NodeFlow Platform website together with the date of the current revision.

Where required by applicable law, material changes will apply only after appropriate notice or acceptance.

Changes to this Agreement do not alter rights already granted under applicable open-source licences.
