PUBLIC OFFER for the Provision of NodeFlow Platform Services

This document constitutes an offer by Individual Entrepreneur Evgeny Vitalyevich Litvyakov (“Provider”) to enter into an agreement for the provision of services through NodeFlow Platform under the terms set out below (“Offer”).
This Offer is addressed to individuals, individual entrepreneurs, companies, and other legal entities wishing to use NodeFlow Platform services.
Creating an Account, expressly accepting this Offer, purchasing a paid Plan and/or using paid NodeFlow Platform services in the circumstances described below constitutes acceptance of this Offer.

1. Definitions

NodeFlow Platform, Service means the software and infrastructure ecosystem available through the official website and NodeFlow Platform software, designed, among other purposes, for automated processing and conversion of digital data and 3D assets between supported software products and formats.
Website means the official NodeFlow Platform website located at https://nodeflow.art.
User means an individual or legal entity using NodeFlow Platform and/or maintaining an Account.
Account means a registered user account used to access NodeFlow Platform functionality.
Conversion means an automated processing operation performed by NodeFlow Platform for the purpose of producing output in a supported format or software environment.
Plan means a set of conditions governing access to particular NodeFlow Platform functionality, including applicable limits, duration, and price.
Conversion Package means a separately purchased quantity of conversions or other usage units where such a product is offered through the Website.
Free means a free level of access to NodeFlow Platform subject to the applicable limitations.

2. Subject of the Offer

2.1. The Provider grants the User access to NodeFlow Platform services and functionality in accordance with this Offer and the Plan or other offering selected by the User.
2.2. NodeFlow Platform provides automated technical tools for processing, preparing, transforming, and converting user data.
2.3. The specific functionality, limits, price, and access period are determined by the terms of the applicable Plan or offering displayed on the Website at the time of purchase.
2.4. This Offer governs the commercial relationship between the Provider and the User concerning the provision of NodeFlow Platform services.
2.5. Licensing of NodeFlow Platform software components is governed separately by the End User License Agreement (EULA) and by the applicable licences of individual components.
2.6. Processing of personal data is governed by the NodeFlow Platform Privacy Policy.

3. Acceptance and Formation of Agreement

3.1. The User may be required to register and create an Account to access certain NodeFlow Platform functionality.
3.2. Following registration, certain NodeFlow Platform functionality may be available free of charge subject to applicable limits.
3.3. To purchase a paid Plan, package, or other paid service, the User selects the applicable offering and completes payment using an available payment method.
3.4. Acceptance of this Offer occurs when the User performs an action clearly indicating acceptance, including expressly accepting the Offer during registration or checkout and paying for the applicable paid service.
3.5. By purchasing a paid Plan, package, or other service, the User confirms that the User has reviewed and accepted this Offer.
3.6. An agreement relating to a paid service is deemed concluded when payment is successfully received by the Provider or confirmed by the applicable payment provider, unless applicable law requires otherwise.
3.7. The agreement is concluded electronically and does not require a paper document or handwritten signature unless required by applicable law.

4. Registration and Account

4.1. The User provides the information required to create an Account.
4.2. The User must provide accurate information and update it when necessary.
4.3. The User is responsible for maintaining the confidentiality and security of Account credentials.
4.4. The User must promptly notify the Provider upon becoming aware of unauthorised use of the Account.
4.5. The User may not provide Account access to third parties unless such access is expressly permitted by the applicable Plan or NodeFlow Platform functionality.
4.6. Access to certain features may be restricted until required Account verification has been completed, including verification of the User’s email address.

5. Plans and Pricing

5.1. NodeFlow Platform may offer free and paid Plans, additional Conversion Packages, special offers, and other access options.
5.2. Current Plan names, prices, limits, duration, functionality, and other material conditions are published on the Website.
5.3. The price and applicable conditions are displayed before the User completes a purchase.
5.4. By completing payment, the User accepts the conditions of the selected offering in effect at the time of purchase.
5.5. The Provider may change prices, functionality, limits, and conditions for future purchases.
5.6. Changes to Plans will not reduce an already paid access period or previously purchased service volume unless permitted by applicable law or separately agreed with the User.
5.7. Rules concerning use, accumulation, carry-over, and expiration of conversions or other usage units are determined by the conditions of the applicable Plan or package displayed at the time of purchase.
5.8. Special, partner, corporate, or individually negotiated terms may be provided under a separate agreement.
5.9. Free NodeFlow Platform functionality is provided without charge subject to its applicable limitations.

6. Payment

6.1. Paid services may be purchased using payment methods available through the Website at the time of purchase.
6.2. Available currencies, payment methods, and payment providers may depend on the User’s country, region, and selected payment method.
6.3. The User is responsible for fees charged by the User’s bank, payment system, or other payment intermediary unless such fees are included in the displayed price.
6.4. The Provider does not store full payment-card details where such information is processed by the applicable payment provider.
6.5. Payment is considered completed after confirmation of successful payment is received.
6.6. Paid access is activated following payment confirmation unless otherwise specified for the applicable offering.
6.7. Unless expressly stated at the time of purchase and separately authorised by the User, paid Plans do not automatically renew and recurring payments are not automatically charged.

7. Duration of Paid Access

7.1. The duration of a Plan, package, or other paid service is determined by the applicable offering displayed on the Website at the time of purchase.
7.2. The access period begins upon activation unless otherwise expressly stated.
7.3. Following expiration of paid access, the User may retain access to free NodeFlow Platform functionality where available and provided that the Account has not been terminated for another reason.
7.4. Expiration of paid access does not by itself delete the User’s Account.
7.5. Expiration of paid access does not terminate rights independently granted under applicable open-source software licences.

8. Use of NodeFlow Platform

8.1. The User must use NodeFlow Platform lawfully and in accordance with this Offer, the Terms of Service, the EULA, and other applicable terms.
8.2. The User determines which source files and data are provided to NodeFlow Platform software for the requested operation.
8.3. Before data is transmitted to NodeFlow Platform servers, NodeFlow Platform software may locally prepare user files, including:
  • extracting archive contents;
  • analysing file structure and contents;
  • identifying data required for the requested operation;
  • excluding data not required for the operation;
  • creating a separate technical package for subsequent server-side processing.
8.4. Where such local preparation is performed, the User’s original archive is not transmitted to NodeFlow Platform servers as a single file. Only files and data included in the generated technical package and required for the requested operation are transmitted.
8.5. The User represents that the User has the rights and permissions necessary to use and process all files, models, textures, materials, scenes, and other data submitted for processing.
8.6. The User is responsible for submitted content and compliance with third-party rights.
8.7. The User may not:
  • gain or attempt to gain unauthorised access to NodeFlow Platform;
  • interfere with NodeFlow Platform servers, software, or infrastructure;
  • circumvent technical limitations or usage limits;
  • circumvent licensing or access-control mechanisms;
  • exploit vulnerabilities to obtain functionality or resources beyond authorised access;
  • generate unauthorised automated load;
  • take actions intended to compromise the stability or security of NodeFlow Platform.

9. User Files and Data Retention

9.1. User files and data are used to the extent necessary to provide the requested NodeFlow Platform functionality, including preparation, transmission, processing, and conversion.
9.2. Where local preparation is performed, the original user archive may not be transmitted to NodeFlow Platform servers as a single file. A generated technical package containing data required for processing is transmitted instead.
9.3. Transmitted files, technical packages, and processing results may be stored temporarily within NodeFlow Platform infrastructure.
9.4. Where NodeFlow Platform allows the User to select a retention period, the applicable period is determined by the User’s Account settings.
9.5. If the User does not select another available retention period, the default retention period displayed in NodeFlow Platform or its applicable documentation applies.
9.6. Files and results may be automatically deleted after the applicable retention period without additional notice.
9.7. The User is responsible for retaining original files and any processing results the User wishes to preserve.
9.8. The Provider does not guarantee recovery of data after it has been deleted in accordance with the applicable retention period.

10. Processing and Conversion Results

10.1. NodeFlow Platform performs automated processing of user data.
10.2. Results may depend on source data, formats, software versions, materials, textures, settings, and other technical factors.
10.3. The Provider does not guarantee identical reproduction of every property, parameter, or element of source data unless expressly stated as part of the relevant functionality.
10.4. The User is responsible for reviewing processing results before using them in production or for other purposes.
10.5. The Provider may improve NodeFlow Platform algorithms, infrastructure, and processing methods.
10.6. The User retains rights in the User’s original materials. The Provider does not acquire ownership of user materials merely because they are processed through NodeFlow Platform.

11. Availability and Technical Limitations

11.1. NodeFlow Platform operates using software, server infrastructure, and internet connectivity.
11.2. The Provider takes reasonable measures to maintain availability but does not guarantee uninterrupted or error-free operation.
11.3. Temporary limitations or interruptions may occur due to:
  • maintenance;
  • updates;
  • troubleshooting;
  • security measures;
  • failures or emergencies;
  • actions of third parties;
  • failures of data centres, communication networks, or external services;
  • force majeure events.
11.4. Where reasonably practicable, planned maintenance will be communicated in advance.
11.5. The Provider may modify the technical implementation of NodeFlow Platform provided that such changes do not deprive the User of the essential scope of services already purchased.

12. Software and Intellectual Property

12.1. This Offer governs the provision of NodeFlow Platform services and does not itself establish licensing terms for every software component of NodeFlow Platform.
12.2. Use of proprietary software components is governed by the EULA.
12.3. Certain NodeFlow Platform components, including the NodeFlow Platform add-ons for Blender, may be distributed under open-source licences. The User’s rights in such components are governed by the applicable licences and are not restricted by this Offer.
12.4. Third-party software is governed by the licences of its respective rights holders.
12.5. Termination or expiration of paid NodeFlow Platform services does not terminate rights independently granted to the User under an applicable open-source or third-party licence.

13. Personal Data and Security

13.1. Personal data is processed in accordance with applicable law and the NodeFlow Platform Privacy Policy.
13.2. The User should review the Privacy Policy before providing personal data.
13.3. Information concerning security practices used to protect infrastructure and user data may be described in the NodeFlow Platform Security documentation.
13.4. The User is responsible for taking reasonable measures to protect the User’s Account.

14. Refunds

14.1. The User is entitled to refunds where required by applicable law.
14.2. The User may also request a voluntary refund for an unused portion of a paid service.
14.3. Unless applicable law requires otherwise, a voluntary refund may take into account the period of access already provided, functionality used, conversions consumed, or other services already supplied.
14.4. Nothing in this Section limits mandatory consumer rights.
14.5. The Provider may request information reasonably necessary to identify the relevant Account and payment when processing a refund request.
14.6. Refunds are made using a method permitted by applicable law and supported by the applicable payment system.
14.7. Refund processing times are determined by applicable law and the rules of the relevant payment provider.

15. Liability

15.1. The parties are responsible for their obligations in accordance with applicable law and this Offer.
15.2. The Provider is not responsible for inability to use NodeFlow Platform caused by circumstances outside the Provider’s reasonable control.
15.3. To the extent permitted by applicable law, the Provider is not responsible for:
  • the contents of user files;
  • infringement of third-party rights by the User;
  • loss of the User’s own source files;
  • consequences of using processing results without appropriate review;
  • failures of the User’s equipment;
  • the User’s internet connection;
  • failures or changes in third-party software;
  • actions or failures of banks, payment systems, internet providers, data centres, or other independent third parties.
15.4. The User is responsible for maintaining appropriate backups of source data.
15.5. Nothing in this Offer excludes or limits liability that cannot lawfully be excluded or limited.

16. Restriction and Termination of Access

16.1. The User may stop using NodeFlow Platform at any time.
16.2. The Provider may temporarily restrict or terminate access to proprietary NodeFlow Platform services where:
  • the User violates this Offer or other applicable terms;
  • NodeFlow Platform is used unlawfully;
  • unauthorised access is attempted;
  • licensing, usage-limit, or access-control mechanisms are circumvented;
  • the User’s actions threaten the security or stability of NodeFlow Platform;
  • restriction is reasonably necessary to protect infrastructure or other users.
16.3. Access to certain functionality may also be restricted until required Account verification has been completed.
16.4. Access to paid functionality ends when the applicable paid access period expires unless the User purchases a new access period or other entitlement.
16.5. Restriction or termination of NodeFlow Platform services does not terminate rights independently granted under an applicable open-source or third-party licence.

17. Changes to this Offer

17.1. The Provider may publish updated versions of this Offer.
17.2. An updated version takes effect on the date stated in that version or upon publication if no later effective date is specified.
17.3. The terms applicable to a service already purchased are determined by the version of this Offer and the offering applicable at the time of purchase to the extent required by applicable law.
17.4. Material changes requiring notice or consent under applicable law will be implemented accordingly.

18. Communications

18.1. The Provider may send communications necessary for performance of the agreement or use of NodeFlow Platform to the email address associated with the User’s Account or through NodeFlow Platform interfaces.
18.2. The User is responsible for maintaining an accurate email address and the ability to receive necessary communications.
18.3. Marketing communications are sent subject to applicable legal requirements and required consents.

19. Governing Law and Dispute Resolution

19.1. This Offer and agreements entered into under it are governed by the laws of the Russian Federation.
19.2. The parties will seek to resolve disputes through negotiations and applicable pre-trial procedures where appropriate.
19.3. Claims may be submitted to the Provider using the email address specified in Section 21.
19.4. If a dispute cannot be resolved, it will be handled in accordance with applicable law.
19.5. Where the User qualifies as a consumer, mandatory consumer rights and remedies available under applicable law remain unaffected.

20. Duration

20.1. This Offer remains effective from publication until withdrawn or replaced by a new version.
20.2. An agreement with an individual User remains effective until the applicable obligations have been performed or the agreement is otherwise terminated in accordance with this Offer and applicable law.
20.3. Provisions that by their nature are intended to survive termination remain effective to the applicable extent.
